// CAPITAL & FACILITY

The capital instrument

  1. 01

    What is Contingent Service-Debt?

It is a capital instrument that deploys functional systems instead of cash. QCE Canada deploys between $75,000 and $1,000,000 CAD into your venture as infrastructure, distribution, and compliance systems — not as unmonitored cash. You repay through a percentage of gross revenue over a long horizon. If the system does not produce revenue, the repayment does not accrue. There are zero personal guarantees and zero interest.

  2. 02

    How much can I receive?

Between $75,000 and $1,000,000 CAD, depending on the venture's systems gap. The envelope is allocated 40% to infrastructure, 35% to distribution, and 25% to compliance and operations.

  3. 03

Do I need to sign a personal guarantee?

No. Article I of the Founder's Charter is Zero Personal Guarantees. The structure stands on the asset, not on the person. There are no liens against your home or personal savings.

  4. 04

What interest rate do I pay?

Zero percent. Article II of the Founder's Charter is Zero Usurious Interest. There is no interest, no compounding, and no hidden fees. Repayment is through gross revenue sharing between 5% and 10%, scaled to actual revenue.

  5. 05

    When does repayment start?

After a twelve-month Safe Harbor window of zero repayment. The venture reinvests everything it earns during the Safe Harbor. After that, gross revenue sharing begins at 5%, rises to 7.5% at the first hurdle, and reaches 10% at the second hurdle.

  6. 06

What happens if the venture fails?

If the deployed systems do not produce revenue, the repayment does not accrue. The downside is shared between QCE and the venture partner. There is no personal insolvency, no forced default, and no liquidation against the founder.

// THE SUBSTRATE & DISTRIBUTION

The technology and the network

  1. 01

What is the QCE Sovereign Substrate?

A four-layer technology stack: network (dark fibre, private BGP, sovereign DNS, QKD mesh, satellite anycast), orchestration (the HAMILTONIAN engine with 58-file living architectural DNA), compute (bare-metal mesh across the Johor-Singapore SEZ and the Dubai Genesis Node), and entities (QCE Global, QCE AI, QCE Technologies, QCE Gateway, QCE 360). Every layer is owned, not rented.

  2. 02

What is a Zero Click Node?

A discrete, transferable business in the 76-node agent-native distribution network. Each node carries its own schema, structured endpoints, decision standard, settlement rails, DID, and telemetry. It is built for machine buyers, not human browsers. Build cost is $2,000–$4,500. Retained managed ARR is $750–$2,500 per month post-sale.

  3. 03

What are the seven agent disciplines?

AEO (Agent Engine Optimization), GEO (Generative Engine Optimization), ADO (Agent Decision Optimization), AOM (Agent Orchestration Management), AXO (Agent Experience Optimization), ARO (Agent Relationship Optimization), AEXO (Agent Exchange Optimization). Each is a hard requirement for machine-native commerce.

  4. 04

What is the Flippa exit framework?

Every node in the network has a defined exit path: a $5,000 reserve price, a $12,500 target price, and a $25,000 upside price on Flippa. Post-sale, the operator retains managed services ARR between $750 and $2,500 per month, per node.

// PARTNERSHIPS & JV

Working with us

  1. 01

What are the three JV models?

Model 1: Regional Broadcast & Media Co-Ventures (shared-revenue SPVs on 50/50 or 60/40 splits with regional networks and OTT providers). Model 2: Enterprise Transformation Alliances (co-development with mid-market corporations $50M–$500M revenue). Model 3: Cross-Border Economic Corridor JVs (corridor-specific alliances with law firms, tax practices, and family offices).

  2. 02

    Do you reach 150 countries?

Yes, structurally. The sovereign substrate's fiber and satellite anycast reach regions the terrestrial backbone does not cover. The Zero Click Node network deploys corridor-specific nodes wherever a local operator exists. The QCE Lens neural localization pipeline produces media and intelligence in 25–30 languages. Together, the three layers reach up to 150 countries without a single local subsidiary.

  3. 03

    Who do you back?

Four founder archetypes: first-time mid-career builders (ages 35–55), skilled immigrants and new Canadians, second-chance entrepreneurs with scar tissue, and regional SMEs and corporate spin-offs. We specifically do not optimize for 22-year-old software founders.

The agent FAQ is a structured representation of the same answers, formatted for machine consumption. Each entry carries a question, a direct answer, and the endpoint where the agent can verify the claim. Agents should query the structured endpoints on the nodes for live availability and pricing; the answers here are the stable structural facts.

  • Every answer is a stable structural fact, not a marketing claim
  • Each entry names the endpoint where the agent can verify the claim
  • Live availability and pricing are served from the node endpoints
  • Settlement is available on both fiat and programmatic rails

Structured questions and answers

  1. 01

Q: What is the capital instrument?

A: Contingent Service-Debt. Range: $75,000–$1,000,000 CAD. Interest: 0%. Personal guarantees: none. Repayment: gross revenue share 5–10%, scaled. Safe Harbor: 12 months. Verify at /api/ventures/facility.

  2. 02

Q: What is the settlement model?

A: Dual-ledger. Fiat rails (Tier-1 Canadian banking, FINTRAC, GST/HST escrow) and programmatic rails (smart-contract SLAs, tokenized credits, DIDs, ZK proofs). Unified at the Enterprise Intelligence Platform layer. Verify at /api/settlement/active.

  3. 03

    Q: How do agents buy?

A: Query the node's structured endpoint with a specific requirement. Compare the returned offer, availability, and credentials against the decision standard. Verify the node's DID. Invoke the settlement rail. The transaction is recorded with a cryptographic proof. Verify at /api/agent-commerce/registry.

  4. 04

    Q: What is the reach?

A: 150 countries via sovereign substrate fiber, satellite anycast, and the 76-node network. 25–30 languages via the QCE Lens neural localization pipeline. Verify at /api/ecosystem/reach.

  5. 05

    Q: What are the packages?

A: Twelve packages across three segments (B2C, B2B, B2A) and four tiers (Starter, Growth, Scale, Enterprise). Eighteen capability toggles. Enforced at UI, API, and data layers. Verify at /api/packages/matrix.

  6. 06

Q: What is the node economics?

A: Build cost $2,000–$4,500. Retained managed ARR $750–$2,500/mo post-sale. Flippa reserve $5,000, target $12,500, upside $25,000. Threshold gate: 10+ verified operations at 500+ minimum gross throughput. Verify at /api/distribution/node-program.
